 Position Overview 

In this newly created role reporting directly to the Director Operations, you will play a strategic role in providing guidance and counsel at the senior levels of WRI in the areas of legal and reputation risk. Providing legal support to our India operations and business development activities will be your primary responsibility. As Legal – Head, you will be integral part of the team, which participates in the development and implementation of WRI’s strategy and operations. You should have excellent knowledge about FCRA compliances, company law and Trust Laws.

Responsibilities

Legal Advisory Support

  • Ensure day-to-day legal needs of all departments are adequately met through management and coordination of outside counsel
  • Advise on legal issues and potential exposures through individual or group meetings, seminars or written opinions. Assist in compliance law, FCRA, trust law and labor issues as needed
  • Drafting, reviewing, vetting, negotiate documents (including but not limited to grant agreements with foreign and local donors, non-profit partners, vendor contracts, leases, policy statements, disclosures, solicitations, reports, publications and releases for internal and external dissemination, grants MOUs etc.)
  • Advise on critical brand protection areas relating to IP and information management, including data privacy and cyber security

Specific areas include nonprofit status and obligations, governance, and internal investigations

  • Manage fraud reporting and whistleblower policies and procedures. Establish and continuously improve a consistent compliance framework for the identification, management, monitoring and reporting of Compliance risks and issues.
  • Understanding of Regulatory laws, regulatory strategies, Trust (NGO) laws (FCRA), Company law (FIMA, FDI etc), shops & establishment (Compliance – bonus, wage, attendance, fire drill, IT, display requirements etc). Knowledge and experience of best practice compliance and governance frameworks, methodologies and emerging practice, compliance monitoring.
  • Drafting and vetting of MOA, MOU, Bank guarantee, Indemnity Bonds if any, Undertakings and

authority letters, vendor contracts, donor contracts, framing disclaimers in our contracts, etc. Vetting, consultation and co-ordination with the panel of lawyers to ensure documents are legally sound.

  • Liaison with relevant legal department of Partners/Government offices and other authorities. 
  • Maintain regulatory or compliance documentation, determine operational compliance with regulations or standards. Communicate with government agencies. 

Compliance Management

  • Manage the compliance for the institute and support in risk management
  • Identify and facilitate the process to reduce areas of risk exposure
  • Survey regulatory and legal operating environments to determine risks and recommend actions or options available to mitigate such risks
  • Report violations of compliance or regulatory standards to duly authorized enforcement agencies as appropriate or required.
  • Liaison with consultants, lawyers for legal opinions
  • Monitor the compliance at 3 levels, Program, Offices and Organization level
  • Conduct or direct the internal investigation of compliance issues. Identify compliance issues that require follow-up or investigation.

Risk Management

  • Meet with senior managers and other staff to obtain information about current and future projects and activities contemplated
  • Review key project summaries, publications and other materials produced by India office to identify potential legal exposure
  • Work with counsel for other non-profit agencies on legal issues of common interest to the non-profit and NGO communities
  • Oversee relationships with outside legal counsel providing legal services in India; participate on committees, task forces, and in seminars to educate internal stakeholders on managing legal risk and exposure
  • Be available to all staff to listen and advise on work related to legal and ethical issues. Advising on all correspondence requiring legal inputs and educating front-facing teams on relevant regulatory aspects for better expectation-setting with stakeholders upfront
  • Legal due diligences of the partner organizations and highlighting the risk if any from the funding      perspective. 

Management Strategy and Operations

  • Meeting India Executive Team as needed to participate with senior managers in the development and implementation of WRI strategy and operations
  • Assume responsibility for management of operational and strategic implementation as determined by the India Executive Team
  • Identifying potential legal and related risks and developing mitigating strategies.

Board of Directors Support

  • Provide guidance and counsel and serve as to the Board of Directors ensuring that appropriate governance processes are executed
  • Review and approve minutes of the proceedings of the Board and ensure that meetings of the By-Law Committees are appropriately documented
  • Provide advice and guidance to the Board in its execution of its duties
  • Work with the Executive Assistant CEO to ensure Board fiduciary materials are compliant with local regulations and oversight bodies
  • Providing updates and reports to the internal committees, partners and the Board on a regular basis on relevant legal issues Conduct of Board and Annual General Meetings and the related compliances

Required Qualifications:

  • Bachelors' degree in Law (LLB), with additional qualifications of Company Secretary or Chartered Accountant
  • Minimum 10-12 years of experience as a corporate lawyer or an in-house legal counsel.
  • Experience working with non-profit organizations is strongly preferred. Sound knowledge and understanding of all laws applicable to a non-profit organization. FCRA, company law, Trust Laws are mandatory.
  • Excellent legal drafting and interpretation skills with high detail orientation
  • Highly competent in statutory, regulatory compliance issues.
  • High standards of integrity, ethics, and professionalism
  • Understanding of and commitment to the underlying environmental, sustainability and substantive strategic areas of strategic significance to WRI
  • Excellent verbal and written communications and negotiations skills; excellent analytical abilities and legal research skill; proficiency in word processing and internet research; ability to work in a diverse environment
  • Experience in managing a legal department, experience in training and making presentations all a plus

Preferred Qualifications:

  • 2-4 years of experience as in-house counsel in an international non-profit organization that receives support from multiple donor types and streams.

The Fast Initiative

The FAST initiative was launched in mid-2018 as a public-private partnership in response to calls from the G7, the G20 and the United Nations General Assembly to mobilise the private sector in the fight against modern slavery and human trafficking. In under two years, the initiative has already had substantial impact, having trained thousands of financial sector professionals in more than 130 countries, mobilised institutional investors with more than USD 8 trillion assets under management to tackle modern slavery and human trafficking, developed risk analysis tools for the sector, and provided input into a range of multilateral and regulatory policy processes. It has also organised a coalition of banks and survivor support organisations to provide survivors with improved access to financial services.

Owing to the generous support of FAST donors, the project has been extended by a further three years and is successfully poised for growth.

The position

The UNU Centre for Policy Research is looking for a visionary and dynamic project director to oversee the project’s next phase of growth.

Over the next three years (2021-2023), the FAST Project Director will work closely with the FAST Steering Group and UNU-CPR’s Executive Director to design and implement a programme of work that aligns with donor expectations and ambitions. The Project Director will have significant autonomy in shaping the project team, as well as the scope of collaborations to meet the overarching project objective: mobilising the financial sector to reduce the risks of modern slavery and human trafficking.

About you

You will be a seasoned leader with deep understanding of the finance sector and/or government regulation and practice as it relates to the identification and management of modern slavery risks — including human trafficking and forced labour — in the global economy. You will be familiar with and have experience of sustainable finance initiatives and environmental, social and governance (ESG) criteria in banking, lending and investment practices, as well as compliance and regulatory regimes, financial technology, and international cooperation in the areas of business and human rights. You value and are also familiar with research related to these themes and are keen to build a team that is able to leverage the transformative potential of this policy agenda.

You are proactive and entrepreneurial, motivated by the prospect of using the unique convening power of the United Nations University and the rich constellation of public and private partnerships developed by the UNU Centre for Policy Research to launch a bold and impactful programme of work that will extend the capacity of financial institutions, governments and other key stakeholders to reduce the prevalence of modern slavery. OBJECTIVES OF THE PROGRAMME

The mission of WHO's Health Emergencies Programme (The Programme) is to build the capacity of Member States to manage health emergency risks and, when national capacities are overwhelmed, to lead and coordinate the international health response to contain outbreaks and to provide effective relief and recovery to affected populations.

DESCRIPTION OF DUTIES

Under the direct supervision of RED and overall guidance of DPM, the incumbent will:

(1) Contribute to WHO's organization-wide work in the development, implementation and oversight of relevant policies, strategies, programmes of work, and annual work-plans in areas related to laboratory aspects of infectious diseases of epidemic and pandemic potential including High Threat Pathogens (HTPs);

(2) Guide and provide technical support to develop regional and national policies, strategies, plans, guidelines, standards, SoPs / diagnostic protocols, Quality assistance Schemes and strategic directions for development and effective management of laboratory support in the Region for prevention and control of infectious diseases of epidemic and pandemic potential including High Threat Pathogens (HTPs);

(3) Establish and technically oversee regional laboratory expert networks and represent the SEAR in global experts networks highlighting the specifics of the region;

 (4) Conduct technical evaluations of laboratory diagnostics, equipment and related consumables on behalf of the WHE;

(5) Support field level laboratory response during outbreaks and pandemics by being deployed to countries for technically supporting them;

(6) Coordinate and assist Member States in implementing WHO Global Strategy for Containment of Antimicrobial Resistance together with other stakeholders of AMR prevention and control with specific focus on laboratory based AMR intervention efforts including overseeing the Regional External Quality Assurance Programme (EQAP) with the WHO-CC in Thailand; and

(7) Any other duties as assigned by RED.

REQUIRED QUALIFICATIONS

Education

Essential: University degree in Medical or Biomedical fields. Advanced Post Graduate degree with specialization in laboratory science.

Desirable: Training in molecular techniques. Training in Public Health or Public health laboratory practice is an added advantage.

Experience

Essential:

- At least ten (10) years of experience in public health laboratory science in infectious diseases with special focus on, high threat pathogens in diagnosis and/or research including 5 years of international experience.

- Expert knowledge in and using molecular technique for rapid typing, thorough knowledge of microbiological, clinical and laboratory surveillance.

- Previous experience and understanding of infectious disease laboratory diagnostics with focus on HTP related experience in developing countries and management of a national laboratory or network of laboratories are useful.

- Knowledge of diagnosis of communicable diseases control and epidemiology and ability to work with national and international staff as member of the emergency preparedness and response team both in the laboratory setting, field laboratory setting as well as the international advisory and support levels.

Desirable: Proven track record of successfully acting as an international adviser or consultant is an advantage.

REMUNERATION

WHO salaries for staff in the Professional category are calculated in US dollars. The remuneration for the above position comprises an annual base salary starting at USD 88,162 (subject to mandatory deductions for pension contributions and health insurance, as applicable), a variable post adjustment, which reflects the cost of living in a particular duty station, and currently amounts to USD 2439 per month for the duty station indicated above. Other benefits include 30 days of annual leave, allowances for dependent family members, home leave, and an education grant for dependent children.
